This Affiliate Agreement is entered into between Nestovo Limited, a company incorporated under the laws of Jamaica, and the individual or entity registering as an affiliate on the Nestovo platform (“Affiliate”).
By registering as an affiliate or participating in the affiliate programme, the Affiliate agrees to be bound by this Agreement and all referenced platform policies.
1. PLATFORM ROLE
Nestovo operates solely as a technology platform and marketplace intermediary.
Nestovo does not own, sell, provide, or deliver properties, products, or services listed on the platform and does not act as an agent, partner, employer, or representative of the Affiliate.
The Affiliate acts as an independent contractor.
2. AFFILIATE APPOINTMENT
Nestovo grants the Affiliate a limited, non-exclusive, revocable right to promote the platform using approved referral links or methods.
This Agreement does not create any exclusivity or guaranteed income.
3. AFFILIATE OBLIGATIONS
The Affiliate agrees to:
• promote the platform in a lawful and ethical manner
• use only approved referral links and materials
• provide accurate registration and payment information
• comply with all applicable laws and regulations
The Affiliate shall not misrepresent Nestovo, its services, pricing, or offerings.
4. PROHIBITED CONDUCT
The Affiliate shall not:
• engage in misleading or deceptive marketing
• use spam, unsolicited messaging, or illegal advertising methods
• impersonate Nestovo or claim to act on its behalf
• manipulate tracking systems or referrals
• refer fraudulent or self-generated transactions
Nestovo may suspend or terminate accounts for prohibited conduct.
5. COMMISSIONS
Commissions are earned only when:
• a valid referral is tracked by the platform
• the referred transaction is completed
• the transaction is not cancelled or refunded
• all dispute and refund windows have expired
Commissions are calculated and displayed through the platform and may change from time to time. Nestovo reserves the right to modify commission structures, eligibility requirements, payout thresholds, or affiliate programme terms at any time.
Nestovo does not guarantee commission amounts or earnings.
6. COMMISSION REVERSALS
If a referred transaction is cancelled, refunded, disputed, or deemed invalid:
• the related commission is void
• previously credited commissions may be reversed
• commissions are not considered earned until payout eligibility is met
7. PAYMENTS AND PAYOUTS
Affiliate payouts are governed strictly by the Payout Policy.
The Affiliate acknowledges that:
• payouts may be delayed or held due to disputes, refunds, or compliance checks
• valid payout information must be maintained
• Nestovo does not guarantee payout timing
8. TAXES
The Affiliate is solely responsible for:
• declaring and paying all applicable taxes
• compliance with tax laws in their jurisdiction
Nestovo does not withhold taxes or provide tax advice unless required by law.
9. INTELLECTUAL PROPERTY
Nestovo retains all rights to its trademarks, branding, and platform content.
The Affiliate may use approved branding materials solely for affiliate promotion and must stop use upon termination.
10. NO WARRANTY AND LIMITATION OF LIABILITY
Nestovo provides the affiliate programme on an “as is” and “as available” basis.
To the fullest extent permitted by law, Nestovo shall not be liable for:
• lost commissions
• lost income or profits
• indirect or consequential damages
• tracking failures or system downtime
Nestovo’s total liability, if any, shall not exceed commissions actually paid to the Affiliate in the preceding three months.
11. INDEMNITY
The Affiliate agrees to indemnify and hold harmless Nestovo, its directors, officers, employees, and agents from any claims, losses, damages, liabilities, or expenses arising from:
• the Affiliate’s marketing activities
• breach of this Agreement
• violation of laws or third-party rights
12. SUSPENSION AND TERMINATION
Nestovo may suspend or terminate this Agreement and the Affiliate account at any time for:
• breach
• fraud or abuse
• risk management
• platform integrity
Upon termination, unpaid commissions may be forfeited where permitted by law.
13. DATA AND PRIVACY
Personal data is processed in accordance with the Privacy Policy.
14. MODIFICATIONS
Nestovo may update this Agreement at any time. Continued participation constitutes acceptance of updated terms.
15. GOVERNING LAW AND JURISDICTION
This Agreement is governed by and construed in accordance with the laws of Jamaica.
The courts of Jamaica shall have exclusive jurisdiction.
16. ENTIRE AGREEMENT
This Agreement, together with the Terms and Conditions and referenced platform policies, constitutes the entire agreement between the parties relating to affiliate participation.
